Welcome to Zilcycler. These Terms of Service ("Terms") govern your access to and use of the Zilcycler mobile application, website, and related services (collectively, the "Service") operated by Zilcycler ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

To use Zilcycler, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable Nigerian or international law
• Provide accurate and truthful information during registration

By registering, you represent and warrant that you meet all eligibility requirements.

2. Account Registration and Security

2.1 Account Creation

To use most features, you must create an account by providing your name, email, phone number, and a secure password. You may register as either a Household or an Organization. Other roles (Collector, Staff, Admin) are created only by Zilcycler administrators.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Immediately notifying us of any unauthorized access
• Ensuring your account information is current and accurate

We are not liable for any loss or damage from your failure to safeguard your account credentials.

3. Description of Service

Zilcycler is a recycling platform that:

• Connects households and organizations with waste collectors
• Schedules waste pickup services
• Awards "Zoints" (Z) virtual rewards based on the weight and type of materials recycled
• Allows redemption of Zoints for cash transfers to your bank or charitable donations
• Provides locations of nearby drop-off centers
• Issues sustainability certificates to organization users

4. Zoints (Virtual Rewards)

4.1 Nature of Zoints

Zoints (Z) are virtual rewards issued by Zilcycler with the following characteristics:

• Zoints have no inherent monetary value outside the Service
• Zoints are not legal tender, currency, or securities
• Zoints cannot be transferred between users
• Zoints have no expiration date while your account is active
• Upon account closure, unredeemed Zoints are forfeited

4.2 Earning Rate

The earning rate (Zoints per kilogram of recycled material) is set by Zilcycler administrators and may vary based on material type and market conditions. Current rates are displayed in the app. We reserve the right to modify rates at any time. You will be earning at the rate in effect at the time of pickup completion.

4.3 Redemption

• Minimum redemption amount: 500 Zoints
• Conversion rate: 1 Z = ₦10 (subject to change with notice)
• Cash redemptions are subject to admin approval and may take 3-7 business days
• You must provide accurate bank details; we are not liable for funds sent to incorrectly entered accounts
• Charity donations are made to verified partners and are non-refundable

5. Pickup Service

5.1 Scheduling

You may request pickups by providing accurate information about waste type, location, time, and contact details. Pickups are subject to collector availability in your area.

5.2 Your Responsibilities

• Ensure waste materials are properly sorted and accessible at the scheduled time
• Provide a safe environment for collectors
• Not include hazardous, biological, or illegal materials in pickup
• Be present or arrange access at the scheduled pickup time

5.3 Collector Responsibilities

• Collectors will weigh materials at the location of collection
• Earned Zoints are calculated based on weight × rate per category
• You will receive notification when pickup is completed

6. Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose
• Submit false, misleading, or fraudulent information
• Attempt to manipulate the Zoint rewards system
• Schedule pickups you do not intend to fulfill
• Submit waste containing hazardous, biological, or illegal materials
• Harass, threaten, or harm other users or collectors
• Reverse engineer, decompile, or attempt to extract source code
• Access the Service through automated means (bots, scrapers) without permission
• Circumvent security measures, rate limits, or access controls
• Create multiple accounts to abuse promotions or rewards
• Sell, resell, or transfer your account
• Upload images or content that is offensive, illegal, or violates third-party rights

Violations may result in immediate account suspension or termination, forfeiture of unredeemed Zoints, and potential legal action.

7. Intellectual Property

7.1 Our Content

All content provided through the Service, including the Zilcycler name, logo, branding, software, and design, is owned by or licensed to Zilcycler and protected by intellectual property laws. You are granted a limited, non-exclusive, revocable license to use the Service for its intended purpose.

7.2 Your Content

You retain ownership of content you upload (photos, messages, etc.). By uploading, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your content as necessary to provide the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

9. Account Suspension and Termination

9.1 By You

You may terminate your account at any time through Settings → Privacy & Security → Delete Account. Upon termination, your personal information will be anonymized as described in our Privacy Policy. Unredeemed Zoints will be forfeited.

9.2 By Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Required by law or court order
• Continued operation poses a risk to other users or the Service

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

10.2 Limitation of Liability

To the maximum extent permitted by Nigerian law, Zilcycler shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, or business opportunities
• Service interruptions or outages
• Actions or omissions of third-party collectors or service providers
• Disputes between users and collectors

Our total liability to you for any claim shall not exceed the value of Zoints in your account at the time of the claim or ₦10,000, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Zilcycler, its officers, employees, and partners from any claim, damage, or expense arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third party's rights
• Content you upload or transmit through the Service

12. Modifications to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through:

1. Good-faith negotiation between the parties
2. Mediation, if negotiation fails
3. Arbitration in Lagos, Nigeria, under Nigerian Arbitration and Conciliation Act, if mediation fails

You waive any right to a jury trial or class action proceeding.

14. Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, government action, internet/utility outages, or pandemics.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zilcycler regarding the Service and supersede any prior agreements.
